Dividends in a Portuguese Lda: Profit Distribution, Reserves and Shareholder Rights

A Portuguese Lda can have accounting profit and still be unable to distribute all of it to shareholders.

Dividend decisions sit between three separate questions:

  • 1. what profit exists in the approved accounts;
  • 2. what part is legally distributable;
  • 3. what the shareholders resolve to distribute.

Company cash in the bank is not the same thing as distributable profit.

Revenue is not the same thing as profit.

A shareholder cannot simply withdraw company money and call it a dividend.

The accounts come first

Annual profit distribution is based on approved company accounts.

Before dividends can be considered, the company must know:

  • annual result;
  • carried-forward losses;
  • legal and contractual reserves;
  • share capital;
  • equity position;
  • other statutory distribution restrictions.

The correct sequence is:

accounts

→ distributable amount

→ shareholder resolution

→ payment.

The capital-protection rule

Article 32 of the Portuguese Companies Code protects company capital and mandatory reserves.

Company assets cannot be distributed to shareholders if the company's equity is already below the protected amount or if the proposed distribution would push it below that amount.

That protected amount includes:

  • share capital;
  • reserves that law or the articles do not permit to be distributed.

This is a creditor-protection rule as well as a shareholder-distribution rule.

Not every accounting gain is distributable

Article 32 also restricts distribution of some gains recorded through fair value or the equity method until the statutory realisation conditions are met.

This matters because modern accounts can show positive equity movements that are not the same as cash profit available for dividends.

Do not calculate dividends only from one line in management accounts.

Use the legally approved financial statements.

Losses and reserves come before dividends

Article 33 prevents distribution of current-year profit where it is needed to:

  • cover carried-forward losses;
  • create or rebuild reserves required by law;
  • create or rebuild reserves required by the articles.

The article contains additional rules affecting certain non-amortised expenditure and reserve distributions.

The practical point is simple:

"the company made money this year" does not automatically mean "all of that money can be paid to shareholders".

Is an Lda required to distribute profit?

Portuguese Lda law has an important default rule.

Article 217 provides that at least half of the annual distributable profit cannot be withheld from shareholders unless:

  • the articles contain a different rule; or
  • shareholders adopt a different resolution by a three-quarter majority at a general meeting convened for that purpose.

This is much stronger than a general idea that management can retain all profit whenever it wishes.

But the rule applies to legally distributable annual profit, not gross revenue or unrestricted cash.

Can the articles change the default rule?

Yes.

Article 217 expressly allows a different articles provision.

Founders should therefore read the actual company articles before assuming that the statutory half-distribution default applies unchanged.

A shareholder agreement can also contain commercial expectations about dividends, but it must be coordinated with:

  • the articles;
  • mandatory company law;
  • actual distributable profits.

Can shareholders retain more than half?

Potentially.

The statutory rule permits a different decision through a shareholder resolution adopted by a three-quarter majority at a meeting convened for that purpose.

The reason may be:

  • investment;
  • liquidity;
  • debt service;
  • acquisition;
  • capital expenditure;
  • business risk.

The corporate process matters.

Management should not simply refuse to pay dividends without the required legal basis.

Who decides profit distribution?

In an Lda, approval of annual accounts, allocation of profit and treatment of losses are shareholder matters.

Management prepares and presents the company position.

Shareholders make the relevant corporate decision.

This distinction matters where a gerente also controls a majority of the quotas.

Management authority and shareholder voting authority are separate legal roles.

When does an approved dividend become payable?

Once shareholders resolve to distribute profits, Article 217 gives the shareholder a claim to their share.

The claim generally falls due 30 days after the distribution resolution.

A shareholder can agree to defer payment.

Shareholders can also, where there is an exceptional company situation, extend the payment period by up to another 60 days.

Do not approve a dividend and then leave it unpaid indefinitely without legal analysis.

What if the company has no cash to pay an approved dividend?

This can signal poor corporate planning.

Before approving the distribution, review:

  • cash flow;
  • creditor obligations;
  • financing agreements;
  • tax payments;
  • payroll;
  • working capital.

A legal right to a dividend and practical company liquidity can collide.

The company should not create payment obligations it cannot honour without understanding the consequences.

Dividends versus shareholder loans

A dividend is not repayment of a shareholder loan.

They have different legal bases.

Dividend

Arises from profit allocation.

Shareholder loan repayment

Repays debt owed by the company to the shareholder.

If the company owes a founder substantial suprimentos, decide separately whether cash is being used for:

  • loan repayment;
  • dividends;
  • salary or management remuneration;
  • return of capital.

Do not mix the accounting labels.

Dividends versus gerente remuneration

A gerente can be remunerated for management functions.

That remuneration is different from a shareholder's dividend.

A person who is both:

  • shareholder; and
  • gerente,

can receive money in two different legal capacities.

The company should document the correct basis for each payment.

Manager profit participation

The articles can provide a right for managers or supervisory members to participate in profit.

Article 217 provides that such participation can only be paid after shareholder profits have been placed at shareholders' disposal.

Again, manager compensation and shareholder rights need to be kept distinct.

Can the majority block dividends to pressure a minority shareholder?

Dividend policy can become a shareholder-dispute issue.

A majority shareholder cannot assume every withholding decision is immune from review.

Questions can include:

  • Article 217 default;
  • company articles;
  • meeting notice;
  • voting majority;
  • abuse of majority;
  • company financial needs;
  • treatment of related parties;
  • management remuneration.

A pattern in which profit is withheld while the controlling shareholder extracts value through other channels deserves careful review.

Can an unlawful dividend have to be returned?

Yes, in defined circumstances.

Article 34 deals with company assets received by shareholders in breach of law.

For profit or reserve distributions that were legally impermissible, repayment by the receiving shareholder depends on the statutory knowledge test.

A shareholder can be required to return an unlawful distribution where the shareholder knew, or in the circumstances should have known, of the irregularity.

Creditors can also have rights within the statutory restoration framework.

Dividend resolution versus cash withdrawal

Do not take money from the company before the distribution is lawfully approved and then try to document it retroactively as a dividend.

That can create:

  • accounting problems;
  • tax problems;
  • shareholder claims;
  • gerente liability;
  • creditor-protection issues.

Corporate formality is part of the legal transaction.

International shareholders

A foreign shareholder may also need to review:

  • Portuguese withholding/tax treatment;
  • tax residence;
  • double-taxation treaty;
  • beneficial ownership;
  • foreign reporting.

1. Approve the accounts

Use the final legal accounts.

2. Determine distributable profit

Apply capital and reserve restrictions.

3. Read the articles

Check whether Article 217 default has been modified.

4. Prepare the shareholder resolution

State allocation clearly.

5. Check majority requirements

Especially if retaining more profit than the default rule.

6. Plan cash flow

Do not approve an impossible payment.

7. Separate different payment categories

Dividend, salary, loan repayment and capital return.

8. Review tax before payment

Especially for foreign shareholders.
