No. A Portuguese company is not required in every D2 case.
Portugal's D2 route covers both independent professional activity and entrepreneurship. An independent professional may be able to build the application around a genuine service contract or written proposal for services without incorporating a company.
For an entrepreneur, a Portuguese company can be an important part of the project, but it should exist because the business needs it, not because someone told you that "D2 requires an Lda."
Why people think a company is mandatory
Many D2 applicants are founders, so company formation appears frequently in D2 advice. That has gradually turned into an oversimplified rule: first open a company, then apply for D2.
The better question is: what professional or entrepreneurial activity will support your residence application?
Independent professional without a company
The official framework recognises a service contract or written proposal for services for independent professional activity. This means a company is not automatically required.
Entrepreneur with a Portuguese company
For an entrepreneur, incorporation may be completely logical. But incorporation alone is not enough. A newly created company with no credible explanation of its activity or funding does not turn a weak immigration case into a strong one.
When incorporating first may make sense
- The Portuguese company is central to the project.
- Contracts need to be signed through it.
- Investment is already being made.
- The company needs operational setup.
- The corporate evidence supports a real entrepreneurial file.
When it may make sense to wait
- You are an independent professional who does not need a company.
- You have not confirmed whether D2 is the correct route.
- Your work may actually fit D8.
- The company would exist only to satisfy an assumed visa requirement.
A company creates accounting, tax and administrative obligations. Do not create those obligations unless the structure has a purpose.

Does an Lda guarantee D2 approval?
No. A company proves that a company exists. It does not automatically prove that the business is viable, that sufficient funds are available or that D2 is the correct route.
What if you already own a foreign company?
Do not create a Portuguese company automatically. If you remain a remote professional working through a foreign company for activity outside Portugal, D8 may need to be analysed. If the foreign business is establishing Portuguese operations, D2 and Portuguese corporate structuring may become relevant.
A better order
1. Describe the activity in one sentence.
2. Decide whether it is mainly foreign remote work, Portuguese independent activity or Portuguese entrepreneurship.
3. Compare D8 and D2 if the answer is not obvious.
4. If D2 fits, decide whether the activity actually needs a Portuguese company.
5. Only then incorporate and build the immigration file around the real structure.
